TERMS AND CONDITIONS FOR EWPC PROCUREMENT

By signing the EWPC Procurement Form, you agree and acknowledge to the terms and conditions (“Terms and Conditions”) set out herein and these terms and conditions construe a valid agreement between you (the “Company”) and Pine Labs Private Limited.

1. Subject to the conditions hereinafter contained, Pine Labs hereby agrees to distribute to the Company the required Everywhere Promo Codes (EWPC) for the Company’s business requirements in accordance with either specific requests raised by way of any manual request raised by way of an email (“Manual Request”), on a non-exclusive basis on the terms and conditions as mentioned herein below.  The commercial arrangements provided to the Company are more elaborately set out in Annexure A.
2. The Company may (i) use the EWPCs for its internal consumption; or (ii) distribute the EWPCs to corporates who will exclusively use the EWPCs for their own internal consumption and would not engage in the further resale of the EWPCs.
3. Notwithstanding the foregoing, the Company undertakes that it shall not sell or distribute the EWPCs to the resellers or cardholder(s) who it knows or should know in the exercise of prudent business judgement, that upon redemption of such EWPCs, such sales ultimately will result in bulk purchases on the Platform. Breach of this term shall be construed as a material breach of these Terms and Conditions and  Pine Labs, at its sole discretion, shall have the right to take necessary action and claim damages that may occur due to such reselling activity, including but not limited to blacklisting the Company and terminating these Terms and Conditions with immediate effect. Further, in the event of breach of this clause, the Company shall not be eligible for any discounts on purchase of EWPC or Amazon Pay Gift PPIs, including those discounts which have already been provided for the purchase of the EWPCs or Amazon Pay Gift PPIs and for those Amazon Pay Gift PPIs which were ultimately used for bulk purchase on the Platform.
4. Towards the procurement of the EWPCs, the Company has to pay in advance to fund the stored value account (“SVC”) in accordance with the terms set out in these Terms and Conditions.
5. For the avoidance of doubt, it is hereby clarified that the value of Gift PPIs being issued upon the fulfilment of the Successful Claim Actions set out in Annexure A shall not exceed the total advance amount available at the SVC. Any such request for such issuance shall be rejected by Pine Labs.
6. The Company shall be liable towards any rejections that arise on account of the SVC not being filled in advance as set out above. Notwithstanding the indemnity obligations set out in these Terms and Conditions, the Company shall be liable to indemnity Pine Labs from any claims / complaints that may be raised by the sub-distributor / customer / cardholder.

A. TERMS AND CONDITIONS OF THE EWPC / BRAND GUIDELINES

1. The EWPC has no stored value.
2. All EWPCs shall be valid for a period as per the terms decided and set out by Pine Labs and communicated to the Company in writing;
3. EWPCs cannot be cancelled or refunded once issued. It is understood that EWPCs in itself does not have any stored value as set forth in this terms and conditions.
4. EWPCs cannot be transferred to the account of any other user, once it has been added to the Amazon account of the user.
5. EWPCs once  claimed shall only entitle the user to claim an Amazon Pay Gift PPI of the agreed value which shall be delivered to the user’s (claimant’s) account.
6. The Amazon Pay Gift PPI can be redeemed as per the terms and conditions on www.amazon.in or the Amazon India Mobile App or the Amazon.in m-site (collectively, “Platform”)
7. EWPCs cannot be claimed for cash or credit.

C. VALIDITY

1. The EWPC may be claimed on the Platform. Upon successful claiming of the EWPC, Pine Labs shall ensure that an Amazon Pay Gift PPI or an Amazon Voucher of a predetermined value will be delivered to the beneficiary who claims the EWPC on the Platform.
2. The brand guidelines and other terms and conditions of the EWPC, or of Pine Labs shall be adhered to. The brand guidelines of the EWPCs are set out in Annexure B. The terms of use of Amazon Pay Gift PPIs and Amazon Vouchers are set forth in as applicable.

4. Amazon Vouchers(Third party brand or certain goods specific variant of the vouchers such as but not limited to Amazon Shopping Voucher and Amazon Prime Voucher or any other variants to be added in future.

6. The Company is aware, understands and acknowledges that the EWPCs cannot be exchanged for its value in cash either in full or in part and that the EWPCs can be used exclusively to be redeemed against Amazon Pay Gift PPIs or Amazon Vouchers.

D. ADDITIONAL TERMS FOR PROCUREMENT

1. The Company shall raise Manual Requests from time to time to Pine Labs for the EWPCs. The required EWPCs will be dispatched by agreed upon methods of conveyance upon receipt of Manual Request. Pine Labs shall ensure that the Amazon Pay Gift PPIs shall be added to the user account of the beneficiary who successfully claims the  EWPC.
2. Under no circumstances whatsoever, is the return of EWPCs permitted under these Terms and Conditions once the same have been generated and delivered to the Company.
3. Pine Labs shall raise tax Invoice for program management fee as per commercial agreed in the Annexure A
4. The Company shall comply with the agreed upon advance payments terms for all bills provided by  Pine Labs.
5. Pine Labs shall not facilitate the fulfilment of any Manual Request raised by the Company if payments are not being made by the Company as per the agreed upon terms.
6. Pine Labs hereby agrees that upon successful claiming of the EWPC  on the Platform, an Amazon Pay Gift PPI of agreed value shall be delivered to the designated  Amazon account of the beneficiary.
7. The Company hereby acknowledges and agrees to the terms of operation of the EWPC as set out hereunder and to comply with the terms and conditions thereof, as communicated by Pine Labs from time to time.

E. TERMS OF DISTRIBUTION OF THE EWPCs

1. The Company is required to intimate the terms of use detailed in Annexure B to the corporates, or cardholders to which it distributes the EWPCs to The Company understands that in the event of any failure in this regard by the Company, it shall fully indemnify Pine Labs for any loss suffered by Pine Labs in this regard.
2. The Company shall ensure that:
3. Payments from bank accounts from India and Credit / Debit Cards issued in India are only to be accepted towards the distribution of the EWPC to Beneficiaries. No EWPC (s) are to be sold against cash or e-wallets or against International transactions (this includes payment transfer from outside India);
4. it maintains proper and accurate logs for sales and payment trails for the EWPC sold directly ;
5. it shall not purport to be the issuer of the  EWPC;
6. any Corporates information maintained by it shall be stored securely and in an encrypted form.
7. The Company shall not appoint any entity or individual for undertaking the performance of its services and obligations under these Terms and Conditions without the prior written approval from Pine Labs.
8. The Company agrees and acknowledges that it shall be fully responsible for any loss and damage attributable to any EWPCs in its possession during the performance of its services.
9. Subject to the conditions hereinafter contained, under the EWPC, Pine Labs hereby agrees to provide to the Company, such number of Gift PPI credentials (i.e. Gift PPI number and PIN) (“GC IDs”) for Company for self-consumption or distribution. Upon the receipt of the GC IDs, it shall be the responsibility of Company to keep the same in a manner such that the GC IDs or any other relevant information pertaining to such GC IDs are not leaked to any third parties.  Any damages arising due to any loss and/or misuse of the GC IDs shall be borne by Company.
10. For the avoidance of doubt it is hereby clarified that the EWPCs being shared with the Company are not Gift PPIs by itself or a stored value instrument as it does not have any value stored in it. The Company understands that the Gift PPIs are issued only upon the fulfilment of the Claim Actions as detailed in Annexure A hereto.
11. Company will pay a program support fee on the overall campaign value of the EWPC as agreed on email with Pine Labs in addition to the advance payment for the successful claimed Amazon Pay Gift PPIs. All taxes shall be extra

F. LIMITATION OF LIABILITY

1. In no event shall either Party be liable to the other for any indirect, incidental, consequential, special, exemplary or other damages, including but not limited to loss of business profits, loss of business information, business interruption and the like, suffered by the other or any third party under or in pursuance of the terms hereof, howsoever arising, whether under contract, tort or otherwise, even if advised about the possibility of the same. The total aggregate liability for any claims arising out of or in connection with these terms and conditions shall not exceed the amounts paid by the Company towards the procurement of the EWPCs that constitute the subject matter of the claim.
2. Except as expressly provided in the terms set out herein, Pine Labs does not make any representations or warranties in relation to these Terms and Conditions, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, or implied warranties arising out of course of dealing, course of performance or usage of trade.

ANNEXURE A

G. PROCESS OF CLAIM (EWPC Codes for Amazon Pay):

1. Upon receiving the EWPC, end consumer will have to login or create an account with Amazon by going to www.amazon.in, Amazon Mobile App or m-website of Amazon.in
2. Post Login, the customer will have to browse to “Amazon Pay” -> “Gift”
3. Click on “Add Gift PPI”
4. Enter the EWPC Code and click “Add to your balance” 
5. On completion of this action, an API call is sent to Pine Labs for validation
6. Post validation, a Gift PPI loop Amazon Pay Gift PPI is generated and added to consumer Account. This constitutes a Successful Claim of a EWPC.

 H. PROCESS OF CLAIM (EWPC codes for Amazon Vouchers):

1. Upon receiving the EWPC, end consumer will have to login or create an account with Amazon by going to www.amazon.in, Amazon Mobile App or m-website of Amazon.in
2. Post Login, the customer will have to browse to “Amazon Pay”
3. Go to < Your Vouchers> from Amazon Pay > Manage.
4. Click on ‘Add New’ option on Your Vouchers Page
5. Enter the voucher code given on the voucher and click on the Add button.
